Appointment of New Internal Auditors
The Board of Directors for Himadri Speciality Chemical has confirmed the selection of M/s Ernst & Young, LLP, as the company’s Internal Auditors for the financial year 2025-26. This renowned firm operates as a Limited Liability Partnership under the Limited Liability Partnership Act of 2008 in India and is recognized globally for its expertise in Consulting, Assurance, Tax, Strategy, and Transaction services.
Financial Results and Dividend Recommendation
On April 21, 2025, the Board reviewed and sanctioned the Audited Financial Results for both Standalone and Consolidated operations for the fiscal year ending March 31, 2025. A recommendation has been made for a final dividend of ₹0.60 per equity share with a face value of ₹1, constituting 60% of the equity share’s face value. This proposal awaits the approval of the company’s shareholders.
Strategic Acquisition of Elixir Carbo Private Limited
In a strategic move, the Board has also sanctioned the acquisition of the entire 100% paid-up equity share capital of Elixir Carbo Private Limited, with a total purchase consideration of ₹7.50 crore in cash. This acquisition will occur through the purchase of shares from the existing stakeholders of the target company.
Corporate Governance Enhancements
Alongside these developments, the Board has taken additional steps to strengthen its governance by appointing an Independent Director, a Secretarial Auditor, and the aforementioned Internal Auditors.
